Application for initial registration of a limited liability company

Required documentation

  • Application form
  • Applicant's identification document (ID card/Biometric passport)
  • Identification documents of the founders and/or administrator, etc.
  • Authorization if the application is not carried out by the person responsible for carrying out the application according to Article 26/3 of the Law "On Business Registration, as amended."
  • The statute and the deed of incorporation, if they are two separate documents.

During the application, all mandatory data for the limited liability company must be completed according to articles 32 and 35 of the Law "On Business Registration, as amended."

In the case of registration of a limited liability company with a partner, a foreign legal entity, in addition to the documents required according to the type of entity, the application for initial registration shall also include the documents specified in letters “a”, “b”, “c” and “d” of point 5 of Article 28 of the aforementioned law, for the foreign legal entity as follows;

  • The Deed of Establishment and the Statute of the foreign company, in the absence of an equivalent act of establishment, according to foreign legislation, as well as their full text with subsequent amendments;
  • Documentation proving the registration of the foreign company in the foreign jurisdiction;
  • Documentation certifying the current status of the foreign company, issued within a period not exceeding 90 days from the date of application, with registration and representation data, including information on whether it is in the process of liquidation or bankruptcy;
  • Decision or other acts of the relevant body of the foreign company, according to foreign legislation, for the participation of the foreign company as a partner in the Albanian company.

  • Identification documents of the legal representative of the branch and the legal representatives of the parent company.
  • Authorization if the application is not carried out by the person responsible for carrying out the application according to Article 26/3 of the Law "On Business Registration, as amended."
  • The Deed of Establishment and the Statute of the foreign company, in the absence of an equivalent act of establishment, according to foreign legislation, as well as their full text with subsequent amendments;
  • Documentation proving the registration of the foreign company in the foreign jurisdiction;
  • Documentation certifying the current status of the foreign company, issued within a period not exceeding 90 days from the date of application, with registration and representation data, including information on whether it is in the process of liquidation or bankruptcy;
  • The balance sheet of the foreign company for the last financial year, maintained according to the standards required in the foreign country, if the foreign company has been operating for more than one year;
  • Decision or other acts of the relevant body of the foreign company, according to foreign legislation for the opening of a branch or representative office.

During the application, all mandatory data for branches and representative offices of foreign companies must be completed according to Article 37 of the Law "On Business Registration, as amended."

Application for reorganization of companies

Based on Article 43/3 entitled "Other mandatory registrations" of the Law "On Business Registration", as amended, it is determined that; In addition to what is provided for in point 1 of this article, the entity must register and file the relevant acts, as follows:
ç) acts of dissolution, closure or distribution, acts of transformation, merger, division, opening of administration, liquidation or reorganization procedures, as well as other intermediate acts, provided for by the legislation in force.

Reorganization of companies according to Law No. 9901 dated 14.4.2008 "On traders and commercial companies", as amended;

  • Reorganization of companies is only done for limited liability companies and joint stock companies.
  • A company may be reorganized through merger with another company, through division into two or more other companies, or through conversion of legal form.
  • Companies can only be reorganized after they have been registered for at least one year.
